Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you and Tuning Forks Inc. (“Tuning Forks”, “we”, “us”, “our”). They govern your use of our website at https://tuningforks.co and its subdomains, Bella, our AI personal assistant available through messaging channels such as WhatsApp and Telegram (the “Assistant”), and any related services, features and tools we offer (together, the “Services”).

By creating an account, sending a message to the Assistant, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which explains how we collect and use your information. If you do not agree, do not use the Services.

Please read Section “Disputes and arbitration” carefully. It requires most disputes to be resolved by individual binding arbitration and waives your right to a jury trial or to take part in a class action.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business or other organization, you confirm that you have authority to accept these Terms for it, and “you” includes that organization.

Your account

You may need to provide a phone number, messaging account or email address to use the Services. You agree to give us accurate information and keep it up to date. You are responsible for all activity on your account, including instructions sent to the Assistant from your phone number or messaging account, and for keeping access to your devices and accounts secure. Tell us promptly at support@tuningforks.co if you believe your account has been used without your permission.

The Assistant

The Assistant uses artificial intelligence to understand your requests, plan tasks and take actions for you, such as drafting and sending messages, managing your calendar and email, looking up information, and handling customer conversations for your business.

Actions on your behalf. When you ask the Assistant to do something, you authorize it to take the steps reasonably needed to complete that task within the permissions you have granted, including contacting third parties for you. You are responsible for the instructions you give and for actions the Assistant takes in following them. Please review what the Assistant does, especially before it sends anything important.

Payments. The Assistant will ask for your approval before making any payment or purchase for you. Once you approve, you are responsible for that transaction under the terms of the merchant or service involved. We are not a party to transactions between you and third parties.

AI output. The Assistant can make mistakes. Its responses and actions may be inaccurate, incomplete, out of date or not what you intended, and it may be influenced by misleading content from third parties. You should check important information and actions yourself. The Assistant is not a lawyer, doctor, financial advisor or other professional, and nothing it provides is professional advice.

Your content

“Your Content” means the messages, voice notes, files, instructions and other material you send to the Assistant, and the content it accesses from services you connect. You keep all rights you have in Your Content. You give us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit and display Your Content only as needed to provide, maintain, secure and support the Services for you and as described in our Privacy Policy. We do not use Your Content to train AI models.

You confirm that you have all rights and permissions needed to share Your Content with us, including any personal information about other people, and that our use of it as described in these Terms will not violate any law or anyone's rights.

Connected services and messaging platforms

The Services are delivered through, and can connect to, third-party platforms such as WhatsApp, Telegram, Google and Notion. Your use of those platforms is governed by their own terms and policies, and you must comply with them. We do not control third-party platforms and are not responsible for their availability, content or practices. If a platform changes or limits its service, some features of the Services may stop working. You can disconnect a connected service at any time.

Business use

If you use business features, such as client management, automated customer replies or a WhatsApp shop, you are responsible for your products, services, pricing and customer relationships, and for complying with laws that apply to your business, including consumer protection, marketing and messaging consent rules. You are responsible for having a lawful basis to provide customer information to us, and we process that information on your behalf to provide the Services to you.

Acceptable use

You agree not to use the Services, or direct the Assistant, to:

• break any law or regulation, or help anyone else do so;
• send spam, bulk unsolicited messages, or marketing to people who have not agreed to receive it;
• harass, threaten, defraud, impersonate or mislead anyone;
• infringe anyone's intellectual property, privacy or other rights;
• create, share or seek content that sexually exploits or endangers children, or that promotes violence or self-harm;
• access accounts, systems or data without authorization;
• interfere with, overload or disrupt the Services, or get around any security, usage limit or safety measure;
• reverse engineer, scrape or copy the Services, or use them to build a competing product, except where the law allows; or
• violate the terms of WhatsApp, Telegram or any other platform the Services run on.

We may investigate suspected violations and take action, including removing content, limiting features, or suspending or ending your access.

Fees and payment

Some features may require a paid plan. Prices and plan details are shown on the Website or in the Assistant before you buy. By subscribing, you authorize us and our payment processor to charge your payment method for the fees, plus any applicable taxes.

Renewal. Paid plans renew automatically at the end of each billing period at the then-current price until you cancel. You can cancel at any time by messaging the Assistant or emailing support@tuningforks.co. Cancellation takes effect at the end of the current billing period, and you keep access until then.

Price changes. We will give you reasonable advance notice of any price increase. If you do not cancel before the increase takes effect, the new price applies from your next billing period.

Refunds. Except where required by law, fees are non-refundable and we do not give credits for partial billing periods.

Fees for third-party purchases you approve through the Assistant are charged by the relevant merchant under its own terms.

Our intellectual property

The Services, including our software, models, designs, text, graphics and the Tuning Forks and Bella names and logos, are owned by Tuning Forks or its licensors and protected by intellectual property laws. Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for your own personal or internal business purposes. All rights not expressly granted to you are reserved.

As between you and us, you own the output the Assistant produces for you, such as drafts and summaries, to the extent we have rights in it. Similar output may be produced for other users, and you do not gain rights in output produced for anyone else.

Feedback. If you send us ideas or suggestions about the Services, we may use them freely without any obligation to you.

Suspension and termination

You can stop using the Services and close your account at any time by messaging the Assistant or emailing support@tuningforks.co.

We may suspend or end your access to all or part of the Services at any time if you breach these Terms, if your use creates risk or legal exposure for us or others, if a platform we rely on requires it, or if we stop offering the Services. Where reasonable, we will give you notice first.

When your access ends, your right to use the Services stops immediately. We will handle your information as described in our Privacy Policy. Sections that by their nature should survive termination, including those on fees owed, intellectual property, disclaimers, limitation of liability, indemnification and disputes, will survive.

Changes to the Services and these Terms

We are constantly improving the Services and may add, change or remove features at any time.

We may update these Terms from time to time and will change the “Last revised” date when we do. If a change is material, we will give you reasonable notice, for example through the Assistant or by email, before it takes effect. If you keep using the Services after the change takes effect, you accept the updated Terms. If you do not agree, stop using the Services.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, TUNING FORKS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR THE ASSISTANT'S OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT THE ASSISTANT WILL ALWAYS ACT AS YOU INTENDED. YOU USE THE SERVICES AND RELY ON THEIR OUTPUT AT YOUR OWN RISK.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TUNING FORKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN TOLD SUCH DAMAGES ARE POSSIBLE. THIS INCLUDES LOSSES CAUSED BY ACTIONS THE ASSISTANT TAKES ON YOUR INSTRUCTIONS, BY THIRD-PARTY PLATFORMS OR MERCHANTS, OR BY UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain warranty exclusions or liability limits, so some of the above may not apply to you. In that case, our liability is limited to the fullest extent the law allows.

Indemnification

You agree to defend, indemnify and hold harmless Tuning Forks and its officers, directors, employees and agents from any claims, losses, liabilities, damages and expenses, including reasonable legal fees, arising out of or relating to your use of the Services, Your Content, your instructions to the Assistant, your business's dealings with its customers, or your breach of these Terms or any law or third-party right.

Disputes and arbitration

Informal resolution first. Before starting any formal proceeding, you agree to contact us at legal@tuningforks.co with a description of your claim, and we agree to try in good faith to resolve it with you for at least 60 days.

Binding arbitration. If we cannot resolve a dispute informally, you and Tuning Forks agree that any dispute arising out of or relating to these Terms or the Services will be resolved by final, binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration may be held by video or phone, or in the county where you live. Either party may instead bring an individual claim in small claims court if it qualifies, and either party may seek court relief to protect its intellectual property.

Class action waiver. You and Tuning Forks agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative action. YOU AND TUNING FORKS EACH WAIVE THE RIGHT TO A JURY TRIAL.

Opt out. You may opt out of this arbitration agreement by emailing legal@tuningforks.co within 30 days of first accepting these Terms, stating your name, phone number or email, and that you opt out of arbitration.

Governing law

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict of law rules. For any dispute not subject to arbitration, you and Tuning Forks agree to the exclusive jurisdiction of the state and federal courts located in Delaware.

General

These Terms, together with our Privacy Policy, are the entire agreement between you and Tuning Forks about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. We may send you notices through the Assistant, by email, or on the Website.
